(1) pay any service or telephone company charges associated for access to the world wide web, and (2) provide any hardware and software to make such a connection to the world wide web, and (3) comply with all laws and regulations whether National or International The Agreement3. The User's Registration obligationThe Users of the Blackdown Hills Food Producers site ('Blackdown Hills') agrees to provide completely accurate up to date and information about the Users. 4. The Users agree that if any information that the User provides is false, misleading, out of date or only partially complete then the Blackdown Hills may at its sole discretion decline the User’s order and deny to the User or anybody associated with The User future use of its website.cgdr 5. Blackdown Hills or anybody acting under its instructions may at its sole discretion pass on demographic information about Users to a third party. Blackdown Hills agrees with the User’s that it will not disclose to any third parts the User’s name, mailing address, email, telephone number, facsimile number or account number save for advertising and delivery of its products unless expressly authorised or required to do so by law or legal process. 6. The User’s obligations. The user agrees:- 1. that the Blackdown Hills will not be used for the transmission of any material that is unlawful, harassing, libellous, abusive, threatening, vulgar, obscene or otherwise a nuisance, or infringes the privacy or the intellectually property rights of any third party, and 2. not to use Blackdown Hills for the transmission of “junk Mail”, “spam”, “chain letters”, or the unsolicited mass distribution of files or images, and 3. not to interfere with or distribute Blackdown Hills or networks connected to Blackdown Hills, and 4. to immediately comply with all requirements, procedures, policies and regulations of the networks connected to Blackdown Hills, and 5. to pay all charges incurred with Blackdown Hills under these terms and conditions for payment, which are for payment before anorder will be confirmed to the User. 7. The User’s Indemnity The User agrees to indemnify Blackdown Hills and keep it harmless from any claim or demand made by any third party arising out of the User’s use of Blackdown Hills website, the User’s connection to Blackdown Hills, the User’s violation of these terms of business or the User’s violation of any rights of a third party. 8. Blackdown Hills charges for its products may vary from time to time according to the season. Blackdown Hills must receive payment in cleared funds before User’s order is accepted or any despatch to the User is made. 9. Termination of the User’s contract The User agrees that the Blackdown Hills may terminate their order where:- 1. Payment is not received or cleared funds are not received. 2. Any of the other terms of this agreement have been broken. 10. Blackdown Hills Proprietary Rights. The User agrees that:- 1. all products offered by Blackdown Hills on this site to the User are protected unless stated by copyright, and trade marks 2. that all products, material and information presented by Blackdown Hills may not be distributed, copied, reproduced or transmitted by any means without the consent of Blackdown Hills, and 3. that the products, material and information may not be copied, reproduced, transmitted or distributed by any means without the prior consent of Blackdown Hills or the owner of the material and information, which must first be obtained in writing. 11. Blackdown Hills Liability. The User of this website and the supply of any products appearing on it are provided on the following conditions:- 1. that at all times use of the site by the User is at the sole risk of the User. 2. That the Blackdown Hills will not be liable to the User for the non availability of the site or the failure to re-connect during the term of this agreement, and 3. for the site not meeting the User’s requirements whatever they may be, and 4. any damage caused to the User’s and any third party’s software, hardware or other equipment howsoever caused, and 5. material or information causing defamation, harassment, invasion of privacy, or breach of intellectual property rights. 6. all conditions, warranties and obligations which may be implied by or incorporated into this agreement by statute, common law or otherwise and liabilities arising are expressly excluded from this agreement to the extent permitted by law. 7. Blackdown Hills shall not be responsible for any damage or deterioration (however small) to any of its products after they are despatched by Blackdown Hills, or its agents as a result of any damage to in the products’ packaging, contamination, delay in delivery to the User, temperature changes or other causes of any kind on the part of any third party. 8. Blackdown Hills shall not be responsible for any delay in accepting the User’s order howsoever it may occur. 12. Confidentiality Files, data, material and information delivered by Blackdown Hills via its website will not be disclosed by Blackdown Hills save for advertising and delivery purposes, and where required:- 1. by law or an order of a court 2. for the enforcement of the terms of this agreement, and 3. to protect intellectual property rights 4. to produce backup files and it agreed that the data on any backup file shall not be a breach of copyright, trademarks and service marks or patents owned by the User. 13. The Blackdown Hills Foods Producers obligations It shall be the obligation of the individual members of the Blackdown Hills named in the User’s order who have received the User’s order to deliver the User’s order to the User’s disclosed address within the United Kingdom and Eire only upon acceptance of the User’s order. It shall be the obligation of the individual member or members of the Blackdown Hills named in the User’s order who have received the User’s order to deliver to the User’s disclosed address within the United Kingdom and Erie only by Royal Mail or other independent parcel carriers at the sole discretion of the Blackdown Hills as soon as circumstances permit. The User acknowledges that there shall be no contractual obligation on any other member of the Blackdown Hills Food Producers named in Paragraph 20 to whom no order has been delivered to perform any of the obligation under the terms of business, and that this agreement is with the individual member or members who have received the User’s order and nobody else. 14. Modifications of Blackdown Hills Business Blackdown Hills may discontinue, temporarily or permanently; modify its Website without giving notice. The products advertised on this site are always subject to availability. Blackdown Hills may discontinue the supply of any of its products, temporarily or permanently at its sole discretion. 15. Dealings with Third Parties Blackdown Hills shall not be liable for any loss or damage howsoever caused suffered by the user as a result of any dealings with a supplier. No third party shall acquire any rights under this agreement and this agreement is personal to the User and the User expressly agrees that this agreement is not capable of assignment. 16. Notice Any notice to the User may be served either by e-mail and/or posting by Royal Mail to the address disclosed by the User on the User’s previous order. Blackdown Hills shall have been deemed to have effected service by e-mail within 24 hours of delivery and by Royal Mail within 24 hours in the United Kingdom and Eire and 72 hours of posting elsewhere. 17. Entire agreement Blackdown Hills and the Users agree that these terms constitute the entire contract between them. 18. Jurisdiction This agreement will be subject to and construed in accordance with the laws of England and the parties shall submit to the exclusive jurisdiction of the English courts. 19. Legality If any provision or term of this agreement or any part of it shall become or be declared illegal, invalid or unenforceable for any reason whatsoever, including but without limitation by reason of the provisions of any legislation or other provisions having the force of law or by reason of any decision of any court or other body or authority having any jurisdiction over the parties to this agreement, such terms or provisions shall be devisable and shall be deemed to be deleted from this agreement in the jurisdiction in question. 20.
